1. Acceptance of Terms
By accessing or using Sytalog’s B2B catalog management platform (“Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
Sytalog provides a B2B SaaS platform for managing supplier product data, building unified catalogs, and automating purchase workflows. The Service includes data import, catalog management, saved import mappings, supplier management, purchase lists, and automation features.
3. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be at least 18 years old
- Have authority to bind your organization to these terms
You are responsible for all activities under your account.
4. Subscription and Payment
4.1 Fees
You agree to pay all fees according to the pricing plan you select. Fees are non-refundable except as expressly stated in these terms.
4.2 Billing
Core plans are billed annually in advance. Capacity extensions may be billed monthly or annually. We will notify you of any price changes at least 30 days before they take effect.
4.3 User Licenses
Each user must have their own user license. Sharing account credentials between users is prohibited.
5. Your Data
5.1 Ownership
You retain all rights to the data you upload to the Service. We do not claim ownership of your content.
5.2 License to Us
You grant us a limited license to use your data solely to provide and improve the Service.
5.3 Data Export
You can export your data at any time. Upon account termination, we will retain your data for 30 days before deletion.
6. Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware or harmful code
- Attempt to gain unauthorized access
- Interfere with the Service’s operation
- Resell or sublicense access without authorization
7. Service Availability
We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We will provide advance notice when possible.
8. Limitation of Liability
To the maximum extent permitted by law, Sytalog shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Sytalog from any claims arising from your use of the Service, your data, or your violation of these terms.
10. Termination
Either party may terminate the subscription with 30 days’ notice. We may suspend or terminate access immediately for violations of these terms. Upon termination, your access ceases and we may delete your data after 30 days.
11. Changes to Terms
We may modify these terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.
12. Governing Law
These terms are governed by applicable law. Any disputes shall be resolved in the competent courts.
